Newmom.me Terms of Use Agreement

This Terms of Use Agreement (the “Terms of Use”) is a legally binding agreement between you and Newmom.me, LLC (“Newmom.me,” “we,” “our,” or “us”) governing your use of our websites (the “Sites”), our mobile applications (the “Apps”), and our related services, products, information, and communications (collectively, the “Services”). The Sites, Apps, and Services are referred to together as the “Platform.” The Platform includes, among other things, the Newmom.me marketplace, the Newmom Academy training and certification program, the Newmom.me AI Doula Assistant, hosted alumni provider profiles, and digital products offered for sale. Certain of these offerings are governed by the additional terms set out later in this Agreement.

Your use of all personal data you submit to the Platform, or that we collect about you, is governed by our Privacy Policy. Your registration for, and continued use of, the Platform constitutes your acceptance of and agreement to these Terms of Use, the Privacy Policy, and any future amendments we may publish from time to time. The Privacy Policy is incorporated by reference into these Terms of Use, and together they form the “Newmom.me Agreement.” If any future change to the Newmom.me Agreement is unacceptable to you, you must stop using the Platform and notify us, and we will deactivate your account.

Newmom.me Connects Providers and Clients

The Platform is a web-based communications service that enables connections between Clients and Providers. “Clients” are individuals or businesses seeking to obtain services or products from Providers. “Providers” are individuals or businesses offering to perform services or provide products to Clients. Clients and Providers are referred to together as “Users.” If you agree on the terms of a service with another User, you and that User will form a service arrangement directly between yourselves, as described further below.

Newmom.me is not responsible for the performance or communications of Users and has no control over the quality, timing, legality, or any other aspect of the services, products, Providers, or Clients connected through the Platform, nor over the integrity, competence, qualifications, actions, or omissions of any User, or any ratings or reviews Users provide about each other. Newmom.me makes no warranties or representations about the suitability, reliability, timeliness, or accuracy of any services or products requested or provided, or of any communications between Users, whether public or private and whether online or offline.

Providers are independent contractors of Clients. They are not employees, partners, representatives, agents, joint venturers, or franchisees of Newmom.me. Newmom.me does not perform services, offer products, or employ anyone to perform services or sell products. By connecting Users, Newmom.me operates solely as an online marketplace. Users acknowledge that Newmom.me does not supervise, direct, control, or monitor a Provider’s work or products, and Newmom.me expressly disclaims, to the extent permitted by law, any responsibility or liability for the work or products performed and for any User’s compliance with any law, statute, ordinance, regulation, or code.

Limitations of Newmom.me Services

The Platform has the following limitations:

  • Newmom.me does not employ any Providers and is not responsible for the conduct, online or offline, of any User. Clients are responsible for complying with all applicable employment and other laws in connection with any relationship they establish (such as applicable Ban-the-Box, Fair Chance, payroll, tax, and minimum-wage laws).
  • Content on the Platform is primarily user-generated. Newmom.me does not control or vet user-generated content for accuracy and expressly disclaims any responsibility for the accuracy or reliability of any information provided by Users, and any liability arising from the use of that information.
  • Newmom.me does not refer or recommend Users, and makes no representations about the suitability, reliability, timeliness, or accuracy of any Provider’s services or products, or the integrity or actions of any User. Any screening Newmom.me performs is limited and should not be treated as complete, accurate, current, or conclusive of any person’s suitability.
  • Newmom.me is not an employment agency and does not procure employees for Clients or employment opportunities for Providers.
  • Newmom.me does not control, monitor, or oversee the quality, timing, hours, pay, or legality of services or products delivered by Providers, and does not require Providers to accept any job or deliver any service.
  • Newmom.me does not conduct background checks on Users unless we expressly state otherwise in writing for a specific program. Where we offer or display any verification or screening, it is limited to the process we describe, and we do not guarantee, represent, or warrant that any verified information is accurate or that it belongs to the User who supplied it. Users remain solely responsible for their own vetting and background checks.

User Responsibilities

Users are solely responsible for interviewing, vetting, performing background and reference checks on, verifying information provided by, and selecting an appropriate Client, Provider, or product for themselves or their family. Each User is responsible for complying with all applicable employment and other laws in connection with any relationship they establish, including verifying the age, credentials, and U.S. work eligibility of any Provider they select.

Marketplace Payments, Fees, and Bookings

This section governs payments for doula and related services arranged through the Newmom.me marketplace. General billing rules, including recurring charges and automatic renewal, appear in the “Fees, Billing, and Refunds” section below.

Payment Processing

Payments for marketplace services are processed by one or more third-party payment processors. By making or receiving payment through the Platform, you agree to the applicable processor’s terms and authorize Newmom.me and its processor to charge your payment method and, for Providers, to disburse funds to you. Newmom.me acts as a limited agent of Providers solely for the purpose of accepting Client payments on the Provider’s behalf; a Client’s payment to the processor satisfies the Client’s payment obligation to the Provider for the amount paid. Newmom.me is not a bank, money transmitter, or fiduciary, and does not provide escrow services.

Service Fees and Payouts

Newmom.me may charge a service fee, commission, or transaction fee in connection with marketplace bookings, disclosed at or before the time of the transaction. Provider payouts, including timing and method, are subject to the processor’s schedule and to any holds, reversals, or adjustments described in these Terms. Newmom.me may withhold, deduct, or offset amounts owed to it (including fees, refunds, chargebacks, and reversals) from amounts otherwise payable to a Provider.

Bookings, Cancellations, Rescheduling, and Refunds

Cancellation, rescheduling, and refund terms for any marketplace service are set by direct agreement between the Client and the Provider and must be defined in a contract between them. Newmom.me does not set, impose, or provide any default cancellation or refund policy for marketplace services, is not a party to those terms, and does not guarantee, mediate, or enforce them. Clients and Providers are solely responsible for agreeing on the scope, schedule, price, cancellation, and refund terms of any service before it is booked.

Whether a marketplace service was performed, or performed adequately, and whether any refund is owed, are User–User Disputes between the Client and Provider, in which Newmom.me is not a participant. Newmom.me has no obligation to issue, facilitate, or fund any refund for marketplace services. If a Provider authorizes a refund of amounts collected through the Platform, Newmom.me may process that refund to the Client’s original payment method, less any non-refundable Platform service fees where permitted by law. Newmom.me may also, in its sole discretion and without obligation, issue a credit or refund to resolve a dispute or to comply with applicable law.

Chargebacks

If you initiate a chargeback or payment dispute, we may suspend your account and any pending transactions while the matter is investigated. You agree to contact us before disputing a charge with your bank or card issuer. Newmom.me may recover from a User any chargeback amounts, reversals, and related fees or costs that arise from that User’s transactions.

Taxes

Each User is responsible for determining and paying its own taxes arising from transactions on the Platform. Providers are independent contractors responsible for reporting and paying all taxes on their earnings; Newmom.me may issue tax forms (such as IRS Form 1099) where required by law. Where Newmom.me is required to collect sales, service, or similar taxes, those amounts will be added at checkout.

Off-Platform Payment Circumvention

Users who connect through the Platform agree to transact and pay through the Platform for the services that the Platform facilitated. If a User pays or accepts payment for such services outside the Platform in order to avoid applicable fees, that User agrees to pay Newmom.me a fee equal to 10% of the total service fees involved. Upon Newmom.me’s reasonable request, a User will provide records sufficient to verify compliance with this section, and Newmom.me may take this provision into account when deciding whether to maintain the User’s account.

Fees, Billing, and Refunds (All Paid Offerings)

This section applies to all paid offerings across the Platform, including marketplace bookings, Academy tuition, AI Assistant subscriptions, hosted alumni profiles, and digital products. Offering-specific pricing and refund terms appear in the additional terms for each offering.

Authorization to Charge

By providing a payment method, you authorize Newmom.me and its processors to charge that method for all amounts you owe, including applicable taxes and fees. You are responsible for keeping your payment information current. If a charge fails, we may retry the charge and may suspend or terminate access to the affected offering until payment is received.

Automatic Renewal

Some offerings, including AI Assistant subscriptions and hosted alumni profiles, are sold on a recurring, automatically renewing basis. If you purchase a recurring offering, it will automatically renew at the end of each billing period (monthly or annual, as selected) and your payment method will be charged the then-current price for the next period, until you cancel. Where required by law, we will obtain your affirmative consent to these auto-renewal terms before charging you, send any required renewal or price-change reminders, and provide a simple online method to cancel. You may cancel a recurring offering at any time as described in the applicable section or through your account settings; cancellation takes effect at the end of the current billing period and stops future charges. Except as required by law or as expressly stated in the applicable section, payments already made are non-refundable, and canceling does not entitle you to a refund for the current period.

Price Changes

Newmom.me may change prices, fees, and the features included in any offering. For recurring offerings, price changes apply to the next billing period after we provide any notice required by law, and your continued use after the change takes effect constitutes acceptance.

Refunds Generally

Except where a specific refund right is stated in the additional terms for an offering, or where a non-waivable law requires otherwise, all payments are final and non-refundable. Promotional credits and free-trial periods have no cash value.

Eligibility to Use the Platform

By requesting to use, registering for, or using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by its terms, and that you meet the following criteria:

  • You intend to use the Platform solely to find, manage, share, or provide information about Provider-related services or products, or to use the Academy, AI Assistant, profile, or digital-product offerings as intended.
  • You are 18 years of age or older.
  • You legally reside in the United States.
  • If registering as a Provider, you are permitted to work legally in the United States and hold all licenses and certifications required by the laws applicable to your profession.
  • You have never been the subject of a conviction, arrest, charge, complaint, restraining order, or other legal action involving: (a) any felony; (b) any criminal offense involving violence; physical, sexual, or emotional abuse or neglect; theft; or drugs; or (c) any offense or unlawful act involving endangering the safety of others, fraud, dishonesty, or reckless or negligent conduct.
  • You are not, and are not required to be, registered as a sex offender with any government entity.
  • You are not a competitor of Newmom.me and are not using the Platform for purposes that compete with Newmom.me.

Delays and Accessibility

The Platform may be subject to limitations, delays, failures, and other problems inherent in the use of the internet and electronic communications. Newmom.me is not responsible for any delays, failures, or other damage resulting from such problems.

Notice for California Users

Under California Civil Code Section 1789.3, California users are entitled to the following consumer-rights notice: This Platform is provided by Newmom.me, LLC, 548 Market Street #42663, San Francisco, CA 94104. If you have questions, concerns, or complaints, please contact us by visiting www.newmom.me or by sending a letter via first-class certified mail to the address above.

California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210, or for the hearing impaired at TDD (800) 326-2297 or TDD (916) 322-1700.

Trademarks and Copyrights

Newmom.me, Newmom Academy, and the Platform’s graphics, logos, designs, page headers, button icons, scripts, and service names, are the trademarks or trade dress of Newmom.me in the U.S. and other countries. They may not be used — including as part of trademarks, domain names, keyword advertisements, or email addresses, or in connection with any product or service — in any manner likely to cause confusion, except as expressly permitted in writing or under the alumni-profile terms below.

You should assume that all content and material on the Platform is protected by copyright. Aside from user-submitted content, all materials on the Platform — including text, graphics, logos, icons, images, audio and video clips, downloads, course materials, digital products, data compilations, and software — are the exclusive property of Newmom.me or its licensors and are protected by United States and international copyright laws.

Notices and Copyright Infringement Claims

You agree that Newmom.me may communicate notices to you under these Terms of Use by email, regular mail, or posting on the Platform. All notices to Newmom.me must be sent by first-class certified mail to Newmom.me, LLC, 548 Market Street #42663, San Francisco, CA 94104. Notices are deemed delivered upon verification of delivery or two (2) business days after being sent, whichever is earlier.

In accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512 (“DMCA”), Newmom.me will respond promptly to claims of copyright infringement reported to our Designated Agent:

If you are a copyright owner (or authorized to act for one) and believe your work has been infringed on the Platform, please provide our Designated Agent with a written notice that includes:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of the right allegedly infringed;
  2. Identification of the copyrighted work claimed to be infringed (or a representative list, where multiple works at a single site are covered by one notice);
  3. Identification of the material claimed to be infringing, with information reasonably sufficient to let us locate it;
  4. Information reasonably sufficient to let us contact you, such as an address, telephone number, and email address;
  5. A statement that you have a good-faith belief that the use complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notice is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the owner of the right allegedly infringed.

Newmom.me will investigate notices of copyright infringement and take appropriate action under the DMCA. Notices that do not follow this procedure may not receive a response. Claims of trademark infringement are not handled under the DMCA process above and should be sent in writing to the Designated Agent address, identifying the mark, the allegedly infringing use, and your contact information.

Modifications of These Terms

Newmom.me may modify these Terms of Use at any time, effective upon posting the modified Terms on the Platform, with or without additional notice. You are responsible for reviewing the Platform regularly for changes. If you do not agree to the amended Terms, you must immediately stop using the Platform. Your continued use of the Platform after a modification is posted means you accept and agree to be bound by the modified Terms.

Rules for User Conduct and Use of the Platform

1. Registration, Posting, and Content

The following rules apply to “Content,” meaning anything you post, upload, or transmit to or through the Platform, including messages, photos, audio, video, reviews, and profiles:

  • You will post Content solely to find, manage, or share information about Provider services or products, or as otherwise intended by the relevant offering.
  • You are responsible for providing accurate, current, and complete information in your registration.
  • You will register your account in your own legal name, even if you use the Platform on behalf of another individual or family member.
  • Unless we permit otherwise, all Content you post will be in English.
  • You are solely responsible for your Content. You will not post or transmit any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes another party’s rights (including intellectual property, privacy, and publicity rights), or that promotes any unlawful act, or that falsely suggests it originates from Newmom.me. All opinions stated in your Content must be genuinely held. You represent that you have the right and authority to post all information you post about yourself or others, including any authorization required from a parent or guardian of a minor who is the subject of your Content.
  • You agree that Newmom.me may, in its sole discretion, review, edit, or delete any Content, in whole or in part, that it judges to violate these Rules or to be offensive, inappropriate, illegal, or harmful.
  • You grant Newmom.me, its affiliates, licensees, and successors an irrevocable, perpetual, non-exclusive, fully paid-up, transferable, worldwide license to use, copy, perform, display, reproduce, adapt, modify, distribute, and prepare derivative works from your Content, and to sublicense these rights. You represent that public posting and use of your Content will not infringe the rights of any third party.
  • Your use of the Services, including your Content, must comply with all applicable laws and regulations.
  • Any feedback, ideas, or suggestions you send us through any channel become our exclusive property, and we may use them without notice, consent, or compensation to you.

2. User-Generated Content

Content provided by Users is primarily user-generated. Newmom.me does not control or vet it for accuracy and expressly disclaims any responsibility for its accuracy or reliability, including any Content that is inaccurate, defamatory, or disparaging. Users agree to hold Newmom.me harmless for any misstatements, misrepresentations, or defamatory statements they make on the Platform or elsewhere. Opinions, advice, and statements made available through the Platform but not directly by Newmom.me are those of their respective authors, who are solely responsible for them. Newmom.me does not guarantee the accuracy or usefulness of any such information and is not responsible for any loss or damage resulting from your reliance on Content posted by Users or from reviews or comments made about you.

Newmom.me has no obligation to remove any review or other information posted about you. If you disagree with a review, you may post one rebuttal that complies with these Rules. You may not terminate and re-register your account to prevent a review from being associated with it. The author of a review may remove or request removal of a review they wrote.

3. Exclusive Use

If you are a Client, you may use your account only to find Providers for yourself, your parents, your children, or your grandchildren. If you are a Provider, you may use your account only to offer your own services or products. You are responsible for all activity on your account and may not assign or transfer it to anyone else.

4. Prohibited Uses

By using the Platform, you agree that you will not:

  • use the Platform or any information in it in any way that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable;
  • use the Platform for any fraudulent or unlawful purpose, or for any purpose unrelated to care or caregiving;
  • harass, abuse, or harm another person or group, or attempt to do so;
  • use another User’s account;
  • provide false or inaccurate information when registering or communicating with other Users;
  • attempt to re-register after we have terminated your account, or re-register to prevent a review from being associated with your account;
  • interfere with the proper functioning of the Platform;
  • make any automated use of the system, or impose an unreasonable or disproportionately large load on our infrastructure;
  • bypass any measures we use to restrict access, or use any software or device to scrape, spider, crawl, or harvest data from the Platform;
  • use the Platform’s communication systems or contacts for commercial solicitation not expressly permitted by us;
  • publish or link to malicious content intended to damage or disrupt another User’s browser or computer.

To protect Users, Newmom.me may take appropriate action, including restricting the number of messages a User may send in any 24-hour period. If you violate this Section, Newmom.me may immediately terminate your use of the Platform. You agree that Newmom.me may assess, and you will pay, $10,000 per day that you (i) maintain User information or copyrighted material that you scraped from the Platform, or (ii) otherwise misuse or misappropriate Platform content, including on a “mirrored,” competitive, or third-party site. This is in addition to any other rights Newmom.me may have. Newmom.me may also block access from certain IP addresses at any time.

5. Termination

Newmom.me may, in its sole discretion and with or without notice, immediately terminate or suspend your access to all or part of the Platform, remove your profile or Content, and terminate your account, for any reason or no reason — including if we determine that you are ineligible, have violated the Newmom.me Agreement, are unsuitable as a User, or have misused or misappropriated Platform content. Without limiting the foregoing, we may suspend or terminate your access if you violate these Terms, misuse the Services, share account access without permission, fail to make payment when due, use the Services in a harmful, unsafe, illegal, or unethical way, or if we discontinue or modify the Services.

Upon termination, Newmom.me has no obligation to provide you with a copy of any Content posted by or about you, and no obligation to tell you the reason for termination. Following any termination, Newmom.me may (but is not required to) notify other Users with whom we believe the terminated User has corresponded. That decision does not constitute, and may not be interpreted as, information bearing on the User’s character, reputation, personal characteristics, or mode of living. Termination does not waive any rights or obligations that arose before termination.

6. Privacy

Newmom.me uses the information you provide in accordance with our Privacy Policy, the terms of which are incorporated into these Terms of Use.

7. Links to External Websites

Links from the Platform to external websites, and any third-party advertisements or content, do not constitute an endorsement by Newmom.me and are provided for your convenience only. Newmom.me does not control and is not responsible for external websites or content, which are governed by their owners’ own terms and privacy policies. Newmom.me disclaims any liability arising from your use of links to external websites, and you agree to hold Newmom.me harmless from any such liability.

8. Release of Liability for Conduct and Disputes

By using the Platform, you release and hold harmless Newmom.me and its officers, directors, shareholders, employees, parents, subsidiaries, affiliates, successors, assignees, agents, representatives, advertisers, marketing partners, licensors, independent contractors, and resellers from any claim or controversy arising out of:

  • any violation of these Terms of Use and Rules by you;
  • the actions or inactions of, or the relationship between, you and any other User;
  • any inaccurate or untruthful Content or information you provide;
  • any inaccurate or untruthful Content, instruction, advice, or service created by you or another User and communicated through the Platform; and
  • any intentional or willful violation of the rights of another, or harm you cause to another.

Newmom.me expressly disclaims any liability for any damages, suits, claims, or controversies, known or unknown, arising from the above.

9. Age Restriction

The Platform is intended only for people 18 years of age or older. Newmom.me does not knowingly collect information from anyone under 18. If we determine that you do not meet the age requirement, your registration will be terminated immediately.

Disclaimers, Limitations, and Indemnification

1. No Warranty

The information and materials on the Platform, including all digital products and course materials, are provided “as is” and “as available.” Opinions, advice, and statements made available through the Services, but not directly by Newmom.me, are those of their respective authors and should not necessarily be relied upon. Newmom.me does not: (1) warrant the accuracy, adequacy, or completeness of any information or materials; (2) endorse or accept responsibility for any opinion, advice, or statement made by any party other than Newmom.me; (3) warrant that your use of the Platform will be secure, virus-free, uninterrupted, available, or error-free, or that defects will be corrected; or (4) give any warranties of fitness for a particular purpose, merchantability, or non-infringement. To the extent permitted by law, Newmom.me excludes all implied conditions, warranties, and other terms and disclaims liability for errors or omissions.

Without limiting the foregoing, Newmom.me makes no representations or warranties regarding the suitability of any Provider to provide services or products. The information on the Platform is provided for your internal use only and, except for digital products you have licensed under the terms below, may not be copied or redistributed.

2. Assumption of Risk

While Newmom.me takes certain steps to help promote safety, finding care or care-related services through an online platform carries inherent risks. Newmom.me does not provide training, supervision, or monitoring of Users and cannot guarantee that your interactions with other Users or their families will be safe. You agree to assume all risks when using the Platform, including the risk of injury, illness, and death, and all other risks associated with any online or offline interaction with Users. You also agree not to rely solely on any steps Newmom.me may take to vet or screen Users or Content.

3. Limitation of Liability

Incidental and consequential damages. In no event will Newmom.me be liable for any indirect, special, incidental, consequential, punitive, or exemplary damages, losses, or expenses arising out of or relating to the use of, or inability to use, the Platform — including damages related to information received from the Platform, reliance on any digital product or course material, removal of Content, any termination of your access, failure of performance, error, omission, interruption, defect, delay, computer virus, or system failure — even if Newmom.me has been advised of the possibility of such damages.

Aggregate cap. Under no circumstances will Newmom.me’s aggregate liability, in any form of action arising out of or relating to these Terms or your use of the Platform (including the marketplace, Academy, AI Assistant, hosted profiles, and digital products), exceed the greater of (a) the total amount you paid to Newmom.me in the twelve (12) months preceding the event giving rise to the claim, or (b) $100.

No liability for User conduct or Provider services. Newmom.me is a platform that enables Users to identify, communicate with, and arrange services with independent third-party Providers. Newmom.me does not employ, supervise, control, or endorse any Provider and does not provide medical, health, or other professional services. Any agreement, interaction, or service is solely between the Users involved. To the maximum extent permitted by law, Newmom.me will not be liable for any injury, illness, death, property damage, or other harm arising out of or related to any act or omission of a User, including during in-person or virtual services or communications arranged through the Platform. This applies to claims by a User against another User and to claims by third parties arising from User interactions, whether based in contract, tort (including negligence), strict liability, or any other theory. Users assume all risks arising from their interactions and services and are solely responsible for: (i) evaluating each other; (ii) confirming credentials, training, certifications, and licensing; (iii) establishing appropriate safety practices and boundaries; and (iv) complying with all applicable laws and professional standards.

Informational purposes; not medical or legal advice. Any advice, course material, or digital product made available through the Platform is for informational purposes only and is not a substitute for professional financial, legal, or medical advice, diagnosis, or treatment. Newmom.me is not a health or wellness provider and cannot recommend or refer you to one, and Newmom.me is not a law firm and does not provide legal advice. If you have specific concerns, consult an appropriately qualified professional, and never disregard or delay seeking professional medical advice because of something you read on the Platform. If you think you may have a medical emergency, call your doctor or 911 immediately. If you post health-related information about yourself or another person, you do so at your own risk, you represent that you have the legal authority to disclose it, and you acknowledge that posting it may place it in the public domain. Newmom.me is not liable for any such Content and cannot be expected to keep health information confidential once you post it.

4. Indemnification

You agree to indemnify, defend, and hold harmless Newmom.me and its owners, affiliates, officers, directors, employees, contractors, partners, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • materials and Content you submit, post, or transmit through the Platform, including any alumni profile content;
  • your use of the Platform in violation of these Terms or any applicable law;
  • any relationship or agreement you form with another User through the Platform, including any allegation of injury, illness, death, or property damage;
  • your use or misuse of the AI Assistant, the Academy, or any digital product, including any reliance on, modification of, or distribution of a digital product;
  • any misrepresentation of your credentials, training, certification, or licensing, including in any alumni profile;
  • your violation of any client privacy or confidentiality obligation;
  • your professional services or client interactions, including any failure to refer clients to appropriate licensed professionals; and
  • any third party’s use of information or materials you post to the Platform.

You agree to cooperate as reasonably required in the defense of any such claim. Newmom.me reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, and you will not settle any such matter without our written consent.

Dispute Resolution, Arbitration, Class Action Waiver, and Governing Law

A. Scope: Platform Disputes vs. User–User Disputes

This section governs any dispute, claim, or controversy between you and Newmom.me arising out of or relating to these Terms, the Platform, your account, any fees charged by Newmom.me, or any alleged failure by Newmom.me to comply with these Terms (each, a “Platform Dispute”). Disputes between Clients and Providers regarding services, scheduling, cancellations, refunds, conduct, or any arrangement between those Users (“User–User Disputes”) are solely between those Users; Newmom.me is not a party to them.

B. Informal Resolution Required (Notice + 30 Days)

Before starting arbitration or a lawsuit for any Platform Dispute, you agree to send written notice describing the dispute and the relief sought to info@newmom.me with the subject line “Dispute Notice.” Newmom.me will attempt to resolve the matter informally within 30 days of receiving your notice.

C. Small Claims Carve-Out

Either party may bring an individual action in small claims court for qualifying Platform Disputes, in the county where you reside or where Newmom.me is located.

D. Mandatory Individual Arbitration

If a Platform Dispute is not resolved informally and is not brought in small claims court, it will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable rules (consumer rules for Clients; commercial rules for Providers and business users), except as modified by this section, before a single arbitrator. The location will be San Francisco, California, unless the applicable AAA rules allow a remote hearing or a hearing in your county and you request it.

E. Class Action / Representative Action Waiver

You and Newmom.me agree that Platform Disputes may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, private attorney general, representative, or consolidated proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any representative or class proceeding.

F. Mass Filings / Batch Arbitration

If twenty-five (25) or more arbitration demands are submitted against Newmom.me that (i) arise out of the same or similar facts, (ii) raise the same or similar legal issues, and (iii) are brought by or with the assistance of the same law firm(s) or coordinated group (a “Mass Filing”), the following procedures apply:

  • Batching. The Mass Filing will be administered in batches of up to 25 demands, one batch at a time, unless the parties agree or the administrator directs otherwise.
  • Administrative processing. The parties will work in good faith to use a consistent format and streamline initial requirements, to the extent the administrator permits.
  • Bellwether option. The parties may agree (or the arbitrator may order) that a small number of matters in the first batch proceed first as bellwether cases to inform settlement. Bellwether outcomes are not binding on other claimants but may guide resolution.
  • Stay of remaining demands. While a batch proceeds, all other demands in the Mass Filing are stayed until that batch is completed, unless the administrator requires otherwise.
  • No class arbitration. Nothing here authorizes class arbitration or consolidation of different individuals’ claims, other than batching for administration and scheduling.
  • Good-faith participation. The parties will participate in good faith, including reasonable settlement discussions after the first batch is resolved.

This batching provision is intended to streamline administration and scheduling and does not limit the arbitrator’s authority to hear or decide any individual claim.

G. Injunctive / Equitable Relief Carve-Out

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its rights relating to unauthorized access, scraping, fraud, security incidents, or intellectual property, pending completion of arbitration.

H. Fees and Costs

Arbitration fees and costs will be allocated consistent with applicable AAA rules and applicable law. Attorneys’ fees may be awarded only where authorized by applicable law.

I. Governing Law

Except where the Federal Arbitration Act applies, these Terms and any Platform Dispute are governed by the laws of the State of California, without regard to its conflict-of-law rules.

J. Severability of This Section

If any portion of this Dispute Resolution section is found unenforceable, the unenforceable portion will be severed and the remainder enforced to the maximum extent permitted by law. If the class action waiver is found unenforceable for a particular claim, that claim will proceed in court only to the extent required by law.

Consent to Electronic Communication

By using the Platform, you agree that Newmom.me may communicate with you electronically, and you consent to electronic delivery of notices, documents, or products (including any reports or copies of background checks or screenings) via the Platform, online messaging, or email. You agree to check your account, alerts, messages, and the email address on your account on a reasonably regular basis to stay informed about your account.

Survival

The following provisions survive any termination or expiration of this Agreement: User Responsibilities (with respect to obligations already incurred); Marketplace Payments, Fees, and Bookings and Fees, Billing, and Refunds (with respect to amounts owed); Trademarks and Copyrights; the content license you grant; User-Generated Content; Release of Liability; Disclaimers, Limitations, and Indemnification; Dispute Resolution; the license restrictions in the Digital Products and Academy terms; the alumni-profile representations; and any other provision that by its nature should survive.

Miscellaneous

Nothing in this Agreement makes any User or Newmom.me the partner, joint venturer, agent, legal representative, employer, contractor, or employee of the other, except that Newmom.me acts as Providers’ limited payment-collection agent as described in the Marketplace Payments section. Neither party may hold itself out as having authority to bind the other. Newmom.me may assign this Agreement, in whole or in part, at any time without notice; you may not assign your rights or obligations without our prior written consent. This Agreement binds and benefits the parties’ permitted successors and assigns.

Force majeure. Newmom.me is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or third-party service interruptions.

Severability

If any term or provision of these Terms is found invalid or unenforceable, the parties agree to replace it with a valid and enforceable term that comes closest to expressing the original intent, and the remainder of the Terms will continue to apply.

Entire Agreement

These Terms of Use, together with the Rules, the Privacy Policy, the additional terms below, and any other policies incorporated by reference, constitute the entire agreement between you and Newmom.me and supersede any prior or contemporaneous negotiations, discussions, or agreements regarding their subject matter. Additional terms may exist between you and third parties, including other Users; you represent that those agreements do not interfere with your obligations to Newmom.me under these Terms.

Newmom.me AI Doula Assistant — Additional Terms

These additional terms govern your access to and use of the Newmom.me AI Doula Assistant (the “AI Assistant”) and supplement the Terms of Use above. Where these additional terms conflict with the general Terms of Use on a subject specific to the AI Assistant, these additional terms control. The general provisions above — including Fees and Billing, Limitation of Liability, Indemnification, Termination, and Dispute Resolution — apply to the AI Assistant and are not repeated here. By accessing or using the AI Assistant, you agree to these terms; if you do not agree, do not use the AI Assistant.

1. Purpose

The AI Assistant is designed to support experienced, trained, or certified doulas, newborn care specialists, and related maternal care professionals by offering educational, informational, and practice-support guidance on topics such as postpartum and birth doula support, newborn and infant care, client communication, scope-of-practice guidance, business and professional support, evidence-informed educational resources, and general practical support strategies for families.

The AI Assistant is intended to assist professionals in their work. It is not intended for direct use by clients, patients, parents, or families as a substitute for professional care, and it is not a substitute for doula training, certification, hands-on experience, supervision, mentorship, or continuing education. You should already have appropriate training, experience, or certification before using the AI Assistant to support your work.

2. Not Medical, Mental Health, Legal, or Emergency Advice

The AI Assistant does not provide medical advice, diagnosis, treatment, mental health counseling, legal advice, or emergency care. Its information is for educational and informational purposes only and should not replace advice from a licensed physician, midwife, nurse, lactation consultant, mental health professional, attorney, or other qualified professional. You must not rely on the AI Assistant to make clinical, medical, legal, or emergency decisions.

In any situation involving medical symptoms, urgent concerns, safety risks, mental health crises, or emergencies, you must direct clients to contact the appropriate licensed provider, call emergency services, or seek immediate professional care. Examples include, but are not limited to: heavy bleeding; chest pain or difficulty breathing; severe headache, vision changes, or swelling; fever in mother or baby; signs of infection; a baby having trouble breathing, not feeding, or showing signs of dehydration; thoughts of self-harm or of harming the baby; severe anxiety, depression, confusion, or psychosis; domestic violence or an unsafe home environment; or any situation where the doula believes the client or baby may be at risk.

3. AI Assistant Eligibility

The AI Assistant is intended only for experienced, trained, or certified doulas, newborn care specialists, birth workers, and related maternal care professionals. By using it, you confirm that you are at least 18 years old; that you have completed, are enrolled in, or have relevant professional training in a related field; that you understand the AI Assistant does not replace formal training or certification; that you will not use it as your sole source of doula education or preparation; and that you will use it only as a supplemental tool within your existing training, experience, and scope of practice. Newmom.me may approve, deny, suspend, or terminate access to the AI Assistant at its discretion.

4. User Responsibility and Professional Judgment

The AI Assistant is a support tool only. You are responsible for applying your own training, professional judgment, scope of practice, and applicable standards of care. You agree that you will verify information before applying it; use professional judgment when interpreting responses; not represent AI-generated responses as medical advice or diagnosis; stay within your scope of practice; refer clients to licensed professionals whenever appropriate; and follow all applicable laws, regulations, client agreements, workplace policies, and professional codes of conduct. The AI Assistant may occasionally provide incomplete, outdated, or inaccurate information, and you are responsible for independently confirming any information before relying on it.

5. Account Access and Security

You may be required to create an account or complete an enrollment form to access the AI Assistant. You agree to provide accurate information, keep your credentials confidential, not share your account access, notify us of any unauthorized access, and use the AI Assistant only for your own professional learning and support. Newmom.me is not responsible for any loss resulting from unauthorized use of your account.

6. Acceptable Use

You agree to use the AI Assistant responsibly and ethically. You may not use it to: replace formal doula training, certification, or education; present yourself as trained or certified if you are not; provide medical diagnosis, treatment, or prescriptions; replace a licensed healthcare provider’s advice; handle emergencies without involving appropriate professionals; generate harmful, abusive, discriminatory, misleading, or illegal content; violate client privacy or confidentiality; upload sensitive personal health information unless necessary and properly de-identified; impersonate another person or misrepresent your qualifications; copy, resell, sublicense, or commercially exploit the AI Assistant; or reverse engineer, scrape, hack, disrupt, or otherwise misuse it. Newmom.me may suspend or terminate access if it believes the AI Assistant is being misused.

7. Client Privacy, Confidentiality, and No HIPAA Compliance

You are responsible for protecting client confidentiality. When using the AI Assistant, avoid entering personally identifiable information or protected health information, including client full names, addresses, phone numbers, email addresses, medical record numbers, insurance details, specific provider or hospital records, or any information that could identify a client or baby. Describe situations in general terms whenever possible. For example, instead of “Sarah Smith at 123 Main Street is 3 days postpartum and has…,” say “My client is 3 days postpartum and has….”

The AI Assistant is not a HIPAA-compliant service, and Newmom.me does not act as a “business associate” under HIPAA with respect to your use of it. You must not use the AI Assistant to create, receive, maintain, or transmit protected health information in a manner that requires a business-associate relationship. You are responsible for complying with all applicable privacy laws, client agreements, and confidentiality obligations.

8. No Provider–Client Relationship

Use of the AI Assistant does not create a provider-client, clinician-patient, attorney-client, therapist-client, or fiduciary relationship between Newmom.me and any user, client, parent, baby, or third party. The AI Assistant is not a healthcare provider and does not establish a care relationship with any individual.

9. AI Limitations and Outputs

The AI Assistant uses artificial intelligence to generate responses based on available information, training materials, and configured guidance. Because AI technology has limitations, responses may be incomplete, incorrect, overly general, inapplicable to a specific situation, not updated with the latest laws or clinical guidance, or inconsistent with local requirements. Treat the AI Assistant as a supplemental resource, not as an authority, final decision-maker, or replacement for professional training.

Subject to your compliance with these terms, and to the extent Newmom.me holds any rights in the responses the AI Assistant generates for you (“Outputs”), Newmom.me grants you a limited, non-exclusive, non-transferable, revocable license to use Outputs within your own professional practice. Outputs are provided “as is,” may not be unique to you, and you are responsible for reviewing and verifying any Output before relying on or sharing it. You may not represent Outputs as professional, medical, or legal advice, or as a product or service of Newmom.me.

10. Educational Content

Newmom.me aims to provide evidence-informed, practical guidance, but maternal health, newborn care, lactation, mental health, and doula practice standards change over time. Newmom.me does not guarantee that every response reflects the most current research, regulation, or professional guideline. Consult appropriate professional sources, supervisors, certifying organizations, licensed providers, and official public health guidance when needed.

11. Subscription and Pricing

Access to the AI Assistant may be offered as a free trial, student benefit, promotional offer, monthly subscription, annual subscription, or paid add-on. Current pricing may include: one specialty at $4.99/month or $49/year; both specialties at $9.99/month or $99/year; and promotional or graduate offers as communicated by Newmom.me. AI Assistant subscriptions are recurring and automatically renew, and billing, automatic renewal, cancellation, price changes, and refunds are governed by the “Fees, Billing, and Refunds” section above. You may cancel at any time through your account settings or as otherwise described there; cancellation stops future charges at the end of the current billing period.

12. Free Access and Promotional Offers

Newmom.me may offer free access for a limited period, including for eligible students or graduates, subject to eligibility requirements, expiration dates, usage limits, specialty limits, or other conditions. At the end of a free access period, you may need to choose a paid subscription to continue. Newmom.me may modify, extend, or discontinue promotional offers at any time.

13. Third-Party Technology

The AI Assistant may rely on third-party technology providers, platforms, hosting services, payment processors, analytics tools, or AI infrastructure, and your inputs may be processed by such providers. Your use may be subject to applicable third-party terms and privacy practices. Newmom.me is not responsible for service interruptions, errors, or failures caused by third-party systems outside its control.

14. User Content and Improvement

You may enter questions, scenarios, notes, or other content into the AI Assistant. You confirm that you have the right to submit any content you provide and that it does not violate any law, confidentiality obligation, or third-party right. You remain responsible for the content you enter. Newmom.me may use de-identified or aggregated usage information to improve the AI Assistant, its training resources, user experience, safety, and service quality.

15. Availability, Changes, and No Guarantee of Results

Newmom.me aims to provide reliable access but does not guarantee uninterrupted, error-free, or always-available service, and may modify, suspend, or discontinue any part of the AI Assistant at any time. Newmom.me does not guarantee specific outcomes from use of the AI Assistant, including client satisfaction, business growth, income, certification success, legal compliance, clinical accuracy in every situation, or improved client outcomes.

16. Updates to These Additional Terms

Newmom.me may update these additional terms from time to time. When we do, we may update the “Last updated” date above and/or notify users by email, website notice, account notice, or other reasonable means. Continued use of the AI Assistant after an update means you accept the revised terms.

Newmom Academy — Additional Terms

These additional terms govern your enrollment in and use of the Newmom Academy training and certification programs (the “Academy”) and supplement the Terms of Use above. Where these additional terms conflict with the general Terms of Use on a subject specific to the Academy, these additional terms control. The general provisions above — including Fees and Billing, Limitation of Liability, Indemnification, Termination, and Dispute Resolution — apply to the Academy. By enrolling in or accessing any Academy program, you agree to these terms. Where applicable state law governing private postsecondary or vocational education requires a separate written enrollment agreement, disclosures, or cancellation rights, those requirements control over any conflicting term below, and the required enrollment agreement and disclosures will be provided to you separately.

1. Enrollment and Eligibility

To enroll, you must be at least 18 years old, provide accurate registration information, and meet any prerequisites stated for the program. Enrollment is personal to you and may not be shared, assigned, or transferred. Newmom.me may verify eligibility and may decline or revoke enrollment at its discretion, subject to applicable law and any required refund.

2. Tuition, Fees, and Payment

Tuition and fees are as stated at the time of enrollment and may be offered as a single payment or a payment plan. You authorize Newmom.me and its processors to charge your payment method for all tuition and fees owed. Non-payment may result in suspension of access, withholding of certification, or termination of enrollment, subject to applicable law.

3. Cancellation and Refunds

You may cancel your enrollment by written notice to concierge@newmom.me. Except where non-waivable state law provides greater rights (in which case that law controls and supersedes this paragraph), tuition and fees are non-refundable once you have enrolled. There is no full-refund or pro-rated-refund window, and completing or not completing any portion of the program does not entitle you to a refund. This policy is disclosed to you before enrollment, and by enrolling you acknowledge and accept it.

California students. If you are a California resident or are enrolled in a program offered in California, California law may grant you cancellation and refund rights that override the no-refund policy above, and may require specific disclosures — including a statutory right to cancel and obtain a refund, a pro-rata refund right based on the portion of the program completed, and disclosures regarding the Student Tuition Recovery Fund (STRF). Where those rights apply, they control. 4. Certification — What It Means and Does Not Mean

Successful completion of an Academy program may result in a Newmom Academy certificate or certification. You acknowledge and agree that:

  • A Newmom Academy certification is a private, program-based credential. It is not a government license, registration, or authorization to practice any regulated profession.
  • Certification does not guarantee employment, clients, income, business success, or acceptance by any employer, agency, hospital, payer, or certifying body.
  • You are solely responsible for determining and meeting any licensing, registration, scope-of-practice, and continuing-education requirements that apply to you under the laws of your jurisdiction.
  • Any statement about program accreditation or recognition is limited to what Newmom.me expressly states in writing for that program.

5. Reimbursement and Payer Eligibility

Newmom.me may describe whether a program is designed to align with Medicaid, insurer, or other payer requirements. Any such description is informational only. Newmom.me does not guarantee that completing a program will make you, or any client, eligible for Medicaid reimbursement, insurance coverage, or payment by any payer. Payer requirements and reimbursement programs vary by state and change over time, and eligibility depends on factors outside Newmom.me’s control. You are responsible for confirming current requirements with the relevant payer or agency.

6. Course Materials and Intellectual Property

All Academy curricula, videos, workbooks, assessments, and other materials are owned by Newmom.me or its licensors. Upon enrollment, Newmom.me grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials solely for your own training. You may not copy, record, download (except where expressly permitted), share, resell, sublicense, publicly post, or use the materials to create or deliver competing training. This license ends if your enrollment is terminated or if you materially breach these terms.

7. Student Conduct, Dismissal, and Revocation

You agree to participate honestly and respectfully and to comply with any program policies, academic-integrity rules, and codes of conduct we provide. Newmom.me may suspend or dismiss you, or revoke a certification, for cheating, plagiarism, harassment, unsafe or unlawful conduct, misrepresentation of credentials, or material breach of these terms. Dismissal for cause may result in forfeiture of tuition to the extent permitted by applicable law. Revocation of a certification means you must stop representing yourself as Newmom Academy-certified.

8. No Guarantee of Results

The Academy is intended to support your professional development. Newmom.me does not guarantee that you will complete a program, pass any assessment, obtain certification, or achieve any particular professional or financial outcome.

Alumni Provider Profiles — Additional Terms

These additional terms govern hosted business profiles or web pages that Newmom.me makes available to eligible Newmom Academy graduates and Providers (each, a “Profile”) and supplement the Terms of Use above. By creating, maintaining, or using a Profile, you agree to these terms.

1. Eligibility and Nature of the Profile

Profiles are offered at Newmom.me’s discretion to eligible graduates and Providers in good standing. A Profile is a hosting service only; it does not constitute an endorsement, recommendation, employment, agency, or partnership, and Newmom.me does not verify or guarantee the qualifications, services, or conduct of any Profile holder. Profiles may be offered free of charge or for a recurring fee; any fee is governed by the “Fees, Billing, and Refunds” section above, including its automatic-renewal terms.

2. Your Content and Accuracy Representations

You are solely responsible for the content of your Profile. You represent and warrant that your Profile content is accurate, current, lawful, and not misleading; that you hold every license, certification, credential, and qualification it states or implies; that you will not claim or imply any license, title, or credential you do not hold; and that your Profile does not make any prohibited medical, health-outcome, or guaranteed-results claim. You grant Newmom.me a non-exclusive, worldwide, royalty-free license to host, display, reproduce, format, adapt, and distribute your Profile content for the purpose of operating and promoting the Platform.

3. Newmom.me’s Rights Over Profiles

Newmom.me may, at its sole discretion and without liability, review, edit, reformat, decline to publish, suspend, or remove any Profile or Profile content, including content we believe is inaccurate, misleading, unlawful, or in violation of these terms. We are not obligated to host any Profile or to maintain a Profile for any minimum period.

4. Term, Status Changes, and Takedown

Hosting of a Profile is not perpetual. A Profile may be suspended or removed if you cease to be a graduate or Provider in good standing, lose or fail to maintain any required credential, stop paying any applicable fee, request removal, or violate these terms, or if Newmom.me discontinues the Profile offering. Upon removal or termination, Newmom.me has no obligation to retain, export, or return your Profile content, though we may choose to provide a copy.

5. Use of Newmom.me Branding

If Newmom.me authorizes you to use a “Newmom Academy Graduate,” “Newmom Certified,” or similar designation or badge, you may use it only while you remain in good standing and hold the corresponding certification, only as we direct, and only in a manner that is truthful and not misleading. This permission is a limited, revocable, non-exclusive, non-transferable license, and you must stop using any Newmom.me name, mark, or badge immediately upon loss of standing, revocation of certification, or our request.

6. Responsibility and Indemnity

Your Profile represents your own business, not Newmom.me’s. You are responsible for your Profile content and for your services and interactions with clients, and you indemnify Newmom.me for claims arising from your Profile or any misrepresentation in it, as set out in the Indemnification section above.

Digital Products and Business Tools — Additional Terms

These additional terms govern digital products that Newmom.me offers for sale or download, including contract and form templates, calendars, checklists, to-do lists, food-safety guidelines, and similar business tools and documents (each, a “Digital Product”). They supplement the Terms of Use above. By purchasing, downloading, or using a Digital Product, you agree to these terms.

1. License Grant

When you purchase a Digital Product, Newmom.me grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use that Digital Product, and to adapt it as needed, solely for use within your own doula or maternal-care business. You are buying a license to use the Digital Product, not ownership of it.

2. Restrictions

Except as expressly permitted above, you may not: resell, redistribute, share, lend, sublicense, or transfer the Digital Product or any derivative of it; post it publicly or make it available for download by others; include it in any product, template library, course, or service you offer to third parties; claim authorship of it; or remove any proprietary notices. The Digital Product and all intellectual property rights in it remain owned by Newmom.me or its licensors.

3. No Professional Advice; Templates Are Starting Points Only

Digital Products are provided for general informational and business-support purposes only and are not legal, medical, tax, accounting, food-safety-compliance, or other professional advice. Providing a Digital Product does not create an attorney-client, provider-client, or other professional relationship between you and Newmom.me, and Newmom.me is not a law firm.

Contract and form templates are starting points that must be reviewed and adapted to your specific circumstances. Laws and requirements vary by jurisdiction and change over time, and a template may not be appropriate, complete, or enforceable for your situation. You are responsible for having a qualified attorney licensed in your jurisdiction review and adapt any contract or legal template before you use it. Food-safety guidelines, care checklists, and similar materials are general references only and are not a substitute for compliance with applicable health codes, food-safety regulations, licensing requirements, or the advice of a qualified professional. You are solely responsible for determining and meeting all legal and regulatory requirements that apply to your business.

4. No Warranty; As-Is

Digital Products are provided “as is” and “as available,” without warranty of any kind. Without limiting the general “No Warranty” and “Limitation of Liability” sections above, Newmom.me does not warrant that any Digital Product is accurate, complete, current, legally sufficient, compliant with any law or standard, or fit for any particular purpose, and Newmom.me will not be liable for any loss, claim, penalty, or damage arising from your use of, reliance on, or inability to use a Digital Product. Newmom.me has no obligation to update any Digital Product, and a Digital Product may become outdated after purchase.

5. Delivery and Refunds

Digital Products are delivered electronically. Because Digital Products are delivered in digital form and can be retained and copied, all sales are final and non-refundable once the Digital Product has been downloaded or accessed, except where a non-waivable law requires otherwise. Where a refund is required by law, or where Newmom.me chooses to offer one, it will be issued to the original payment method. By purchasing and accessing a Digital Product, you acknowledge this no-refund policy.

6. Updates to These Additional Terms

Newmom.me may update these additional terms from time to time. When we do, we may update the “Last updated” date above and/or notify users by reasonable means. Your continued purchase or use of Digital Products after an update means you accept the revised terms.
